These Terms of Use apply to the Finstro website (the “Website”) and the Finstro mobile application (the “Mobile App”), which is operated on behalf of Finstro US, Inc. (“Finstro”, “we”, “us” or “our”). By downloading, installing, accessing, browsing or using the Website or Mobile App (the “Services”), you accept and agree to both these terms and conditions (“Terms of Use” or “Agreement”) and the terms and conditions of the Finstro Privacy Policy, which is published via a link on the Website, and which is incorporated herein by reference. In addition to all other agreements that may be provided to you, these Terms of Use set forth the legally binding terms for your use of the Services and they shall apply to all users of the Website and Mobile App. By continuing to use the Services, you agree to be bound by this Agreement. You are only authorized to use the Services (regardless of whether your access or use is intended) if you agree to abide by all applicable laws and to this Agreement. Finstro may modify this Agreement from time to time in its sole discretion and such modification shall be effective upon posting on the Website. You agree to be bound to any changes to this Agreement when you use the Services after any such modification is posted. It is therefore important that you review this Agreement regularly upon each use of the Services to ensure you are updated as to any changes.

Privacy

We are committed to protecting your privacy. Your submission of information, including personal information, through or in connection with the Finstro Website or Mobile App is governed by the terms of our privacy policy and for California Residents, our CCPA Disclosure, as they are updated from time to time, available at www.finstro.com (collectively our “Privacy Policy”).

Eligibility

By using the Services, you represent and warrant that (a) all application information you submit is truthful and accurate; (b) you will maintain the accuracy of such information; (c) you are 18 years of age or older; and (d) your use of the Services does not violate any applicable law or regulation. Use of the Services is void where prohibited.

The Finstro Website or Mobile App may contain links to the websites of third party providers of goods and services (Third Party websites). If you have accessed Third Party websites through our website or mobile app, and if those third parties collect information about you, we may also collect or have access to that information as part of our arrangements with those third parties.

We use ‘cookies’ to provide you with better and more customized service and with a more effective website. A ‘cookie’ is a small text file placed on your computer by our web page server. A cookie can later be retrieved by our webpage servers. The security of your information is very important to us. Finstro regularly reviews developments in security and encryption technologies. Unfortunately, no data transmission over the internet can be guaranteed as totally secure. We take all reasonable steps to protect the information in our systems from misuse, interference, loss, and any unauthorized access, modification or disclosure.


If we no longer require your information, and we are legally permitted to, we will take all reasonable steps to destroy or de-identify the information. We take reasonable steps to preserve the security of cookie and personal information in accordance with this policy. To the extent permitted by applicable law, you agree to indemnify Finstro for any claims, actions, demands, losses, liabilities, damages, costs and expenses (including legal expenses and other costs, such as attorneys’ fees) reasonably incurred by us that arise out of (a) your use of the Website and/or Mobile App; (b) your violation of any term of this Agreement; (c) your violation of any third party right, including without limitation any copyright, property, or privacy right; or (d) your violation of any other terms applicable to your use of any additional services offered to you through the Website or Mobile App. This defense and indemnification obligation will survive this Agreement and your use of the Website and Mobile App. We reserve the right to assume the exclusive defense and control of any claim brought by a third party in connection with your use of the Finstro Website and/or Mobile App and you agree to assist and co-operate with us in relation to any such claim.

Termination

You agree that these Terms of Use remain in effect for as long as you subscribe to, renew or use the Website or Mobile App. Finstro may change, suspend or discontinue any or all of the Services for any reason, at any time, including the availability of any products or services included within the Services. Finstro may also impose limits on all or any of the Services or restrict your access to parts or all of the Services without notice or liability. Finstro may include commercial opportunities or content in any Finstro product, services, image or webpage.

Events Beyond Control

Finstro shall not be liable for interruptions, delays, failures to perform, damages, losses or destruction, or malfunction of any equipment, or any consequence thereof caused or occasioned by events beyond our reasonable control, including any failure of public or private telecommunications networks. The provisions of this paragraph are in addition to, and not intended to limit or modify, the limitation of Limitation of Liability section as stipulated above.

Assignment

These Terms of Use, and any rights and licenses granted hereunder, may not be transferred or assigned by you, but may be assigned by Finstro without restriction or limitations.

General

These Terms of Use are governed by and construed under the laws of the State of Colorado and you agree to submit to the non-exclusive jurisdiction of the courts of that place. If any provision of these Terms of Use is deemed invalid by a court of competent jurisdiction, the invalidity of such provision shall not affect the validity of the remaining provisions of these Terms of Use, which shall remain in full force and effect. No waiver of any term of this these Terms of Use shall be deemed a further or continuing waiver of such term or any other term, and Finstro’s failure to assert any right or provision under these Terms of Use shall not constitute a waiver of such right or provision.

Acceptable Use Policy

An acceptable use policy, is a set of rules applied by the Finstro, (creator / administrator of the Finstro Trade Platform), that restrict the ways in which the platform may be used and sets guidelines as to how it should be used.


The Finstro acceptable use policy is an integral part of the framework of information security policies employed by Finstro.These Terms of Use apply to the Finstro website (the “Website”) and the Finstro mobile application (the “Mobile App”), which is operated on behalf of Finstro US, Inc. (“Finstro”, “we”, “us” or “our”). By downloading, installing, accessing, browsing or using the Website or Mobile App (the “Services”), you accept and agree to both these terms and conditions (“Terms of Use” or “Agreement”) and the terms and conditions of the Finstro Privacy Policy, which is published via a link on the Website, and which is incorporated herein by reference. Purpose

This Acceptable Use Policy (“AUP”) governs use of all information and communication technology, systems, hardware, software, applications, networks, website, web portal, APIs, platform, facilities and services provided or made available by Finstro or its direct or indirect affiliates from time to time, including but not limited to any Finstro Portal and the Finstro API (together, “Finstro Services”).


This AUP applies to each person who uses any Finstro Services directly or indirectly, including without limitation legal entities or individuals doing business with Finstro or otherwise receiving Finstro Services (“Customers”), and any members of personnel or third parties permitted by a Customer to use or access the Finstro Services (“Users”). Customers are required to inform Users of this AUP. Customers and Users are referred to in this AUP as “You”.

Scope and exemptions

The scope of this policy includes all Customers of the Finstro Trade Platform. This policy also applies to other individuals working on Finstro’s behalf including contractors.


The AUP is not exhaustive and Finstro reserves the right to modify or update the AUP at any time by uploading a revised version to its Finstro Portals and the Finstro Website from time to time. You are expected to check the relevant Finstro Portal and the Finstro Website from time to time to take notice of any changes to this AUP, as they are legally binding on You.


Please note that any breach of the AUP may be result in any of the consequences set out in “Consequences of Breach” of this AUP.

Contractual Effect

By connecting to, using or otherwise accessing any Finstro Services (and receiving the benefit thereof), You are deemed to accept the terms of this AUP and agree to use the Finstro Services at all times strictly in accordance with this AUP.


This AUP forms part of each legally binding contract entered into between Finstro and a Customer from time to time (each a “Finstro Contract”).


If there is any conflict or inconsistency between any part of this AUP and any other part of a Finstro Contract, the latter shall take priority and prevail unless Finstro specifies otherwise in its sole discretion.

Unacceptable Uses

  1. For any illegal purpose;

  2. To publish, post, share, copy, store, back-up or distribute:

  3. Any illegal files or data, including infringing, offensive, obscene, threatening, libellous, or otherwise unlawful or tortious material;

  4. Any material protected by the intellectual property rights of a third party (unless You have the necessary rights to such material); or

  5. Material that contains malware, including but not limited to viruses, worms, time bombs, Trojan horses and other harmful or malicious code, files, scripts, agents or any other similar software that may damage the operation of the Finstro Services or another person’s device or property;

  6. To copy, disclose, reproduce or use the confidential information of Finstro or any third party without permission or otherwise in breach of Your legal obligations to Finstro or any third party;

  7. To misrepresent or impersonate a person or attempt to gain access to or illegally track any other person, Customer, User, account, data, hardware, software, system or network related to the Finstro Services;

  8. To distribute unwanted, unsolicited or harassing messages, promotions, advertising, or solicitations;

  9. For any purpose or activity that harms or disrupts the operation or performance of the Finstro Services or Finstro’s Customers, Users, business or operations from time to time;

  10. In any manner not permitted by Finstro;

  11. In a manner that results in excessive bandwidth usage, as determined by Finstro;

  12. To attack, abuse, interfere with, surreptitiously intercept, or disrupt any part of the Finstro Services (including but not limited to denial of service, unauthorised monitoring or crawling), or otherwise tamper with the security of the Finstro Services or any Customer, User, account, data, hardware, software, system or network related to the Finstro Services;

  13. (whether direct or indirect) to reverse engineer, decompile, disassemble, modify, reproduce or create derivative works of any part of the Finstro Services; or

  14. For any other activity or purpose that Finstro deems to be harmful or detrimental to its Customers, Users, business, operations or reputation; or

  15. (the foregoing together the “Unacceptable Uses”).

Security

It is your responsibility to maintain the security of the systems you use to connect to the Finstro Services.


You must ensure that all Users keep any username and password they use to access the Finstro Services secure at all times. Users may be required to change their passwords from time to time.


You shall notify us promptly should you become aware of, or reasonably suspect any unauthorised use of or access to the Finstro Services or unauthorised disclosure of any username or password.a

Criteria for Content

All data that You enter or upload to any part of the Finstro Services must:

  • be true and accurate and corrected as soon as possible if You become aware that it is not true or accurate; and

  • comply with all applicable laws.

Monitoring Systems

To the extent permitted by applicable law, Finstro reserves the right (but does not assume any obligation) to monitor usage of the Finstro Services and intercept data from the Finstro Services for its legitimate purposes, including without limitation to monitor compliance with this AUP, to check that account details are correct, to track payments, transactions, and the account balance position of its Customers, to prevent and detect money laundering, fraud, breach of sanctions and other crimes.

Consequences of Breach

Failure to comply with this AUP constitutes a material breach of the Finstro Contract to which You (or the Customer with which You are associated) are party.


Any breach of this AUP at any time may result in Finstro taking any and all actions in its sole discretion, including with immediate effect based on our reasonable judgment, including without limitation to:


  • issue a warning;

  • suspend or terminate access to all or part of the Finstro Services;

  • terminate all or part of the applicable Finstro Contract;

  • initiate legal proceedings against You for reimbursement of all costs resulting from the breach;

  • take further legal action against You; and/or

  • disclose such information to any law enforcement or regulatory authorities as Finstro considers to be necessary or appropriate.


To the extent permitted by law, Finstro excludes and disclaims all liability for actions taken in response to breaches of this AUP. The responses described in this AUP are not limited, and Finstro may take any other action it reasonably deems appropriate.

How does Finstro collect my personal information?

  • Apply for or open an account

  • Make deposits or withdrawals from your account

Why can’t I limit all sharing?

Federal law gives you the right to limit only

  • sharing for affiliates’ everyday business purposes—information about your creditworthiness
  • affiliates from using your information to market to you
  • sharing for nonaffiliates to market to you

State laws and individual companies may give you additional rights to limit sharing.

Definitions

Affiliates

Companies related by common ownership or control. These include:

  • Finstro Holdings Pty Limited
  • Any wholly-owned subsidiaries of Finstro Holdings Pty Ltd

Nonaffiliates

Companies not related by common ownership or control. They can be financial and non-financial companies.

  • Financial service providers involved in the payments system including
    • Financial institutions and payment organizations; and
    • Credit and fraud reporting agencies, debt collection agencies, your guarantors, other borrowers, organizations involved in valuing, surveying, or registering a security property or which otherwise have an interest in such property, purchasers of debt portfolios, claims-related providers, underwriters and re-insurers
    • Trustee or custodial services –superannuation and managed funds organizations, their advisers and other organizations involved in our normal business practices
  • Non-financial service providers acting on our behalf such as:
    • Third-party suppliers, loyalty and reward program partners, and call centers
    • Service providers involved in maintaining, reviewing and developing our business systems, procedures and infrastructure including testing or upgrading our computer systems

Finstro is committed to maintaining the security of the personal information of our customers. We are providing this CCPA disclosure to explain how we collect, use, and disclose personal information about California residents. If you are a California resident, you may have certain rights under the CCPA (Cal. Civil Code §1798.100 et seq.) regarding your personal information. Our Business or Commercial Purpose for Collecting the PI

We may collect, use, hold and disclose PI and credit-related information about you for the purposes of processing your application for credit, arranging or providing credit to you, assessing whether to accept a guarantee of credit from you, managing that credit, establishing your identity, identifying and investigating any fraud or other illegal activities (or any suspected fraud or other illegal activities), direct marketing of products and services by us, complying with laws, managing our relationship with you, and allowing us to perform administrative tasks.

Sale of Personal Information

We do not sell PI including PI of minors under the age of 16. For purposes of this disclosure, “sell” means the disclosure of PI subject to see CCPA to a third party for monetary or other valuable consideration.

Your Rights under the CCPA

If you are a California resident, you have the right to:


  • Know and have access to the below categories of PI we collect, use, and disclose free of charge;

  • The specific pieces of PI that a business has about you;

  • The categories of PI it has collected about you;

  • The categories of sources from which the PI is collected about you;

  • The categories of PI that we have sold or disclosed for business purposes about you;

  • The categories of third parties to whom the PI was sold or disclosed for a business purpose about you; and

  • The business or commercial purpose for collecting or selling PI

  • Request deletion of PI that we have collected or maintained (unless exempted by the CCPA, federal or state law), and

  • Not receive discriminatory treatment by us for exercising your privacy rights conferred by the CCPA


You may submit a verifiable request for information from you or from an authorized agent that you have designated under the CCPA on your behalf. Your request is deemed verifiable when we are able to verify your identity or verify that you have the authority to make the request on behalf of another individual. If you submit a request on behalf of another person, we may require proof of authorization and verification of identity directly from the person for whom you are submitting the request. We reserve the right to verify the legitimacy of all requests using any information you have given us or any transaction information we have.


We are prevented from providing Social Security numbers, driver’s license or other government issued identification number, financial account numbers, health insurance or medical identification number (if we have it), account passwords or security questions and answers, or any specific pieces of information if the disclosure presents the possibility of unauthorized access that could result in identity theft, fraud, or unreasonable risk to our system security.
